In the matter of “The Companies Act, 1882,” and in the matter of Sutherland’s Manure Company (Limited).

NOTICE is hereby given that a petition for the winding-up of the above-named company by the Supreme Court was, on the 30th day of July, 1892, presented to the Supreme Court, at Dunedin, by John Peterson, of Dunedin, Grocer, a contributory of the said company; and the said petition is directed to be heard before Mr. Justice Williams, at his Chambers, Supreme Courthouse, Dunedin, on Friday, the 12th day of August, 1892, at 11 o’clock in the forenoon; and any creditor or contributory of the said company desirous to oppose the making of an order for the winding-up of the said company under the above Act should appear at the hour of hearing, by himself or his counsel, for that purpose; and a copy of the petition will be furnished to any creditor or contributory of the said company, by the undersigned, on payment of the authorised charge for the same.

NOTICE is hereby given that the Partnership lately subsisting between us, the undersigned HENRY WILLIAMS and ROBERT LOOSMORE WILLIAMS, as Ironmongers, at Napier and Hastings, both in the Provincial District of Hawke’s Bay and Colony of New Zealand, under the firm of “Henry Williams and Sons,” was, on the 11th day of July instant, dissolved by mutual consent. All debts due and owing to or by the late firm will be received and paid by the said Henry Williams, who will continue the said business

THE CO-OPERATIVE AND FARMERS’ ALLIANCE OF NEW ZEALAND (LIMITED).

AT an extraordinary general meeting of the members of the above-named company, duly convened and held at the office of the company, Waterloo Quay, Wellington, on the 6th day of July, 1892, the subjoined special resolution was duly passed; and at a subsequent extraordinary general meeting of the members of the said company, also duly convened and held at the same place, on the 21st day of July, 1892, the said resolution was duly confirmed.

RESOLUTION.

“Be it resolved that the Co-operative and Farmers’ Alliance of New Zealand (Limited) be wound up voluntarily, and that Alexander Jardine, Secretary to the association, be appointed Liquidator, with full power to sell, dispose, and make over the assets, effects, debts, claims, and demands, including all lands, buildings, premises, and leases thereof, of and belonging to the said Co-operative and Farmers’ Alliance to the West Coast Farmers’ Co-operative Association, on the terms and conditions expressed in a certain conditional memorandum of agreement, dated the 30th day of May, 1892, entered into between the Directors of the Co-operative and Farmers’ Alliance of New Zealand (Limited), thereinafter termed ‘the selling company,’ of the one part, and the Directors of the West Coast Farmers’ Co-operative Association (Limited), thereinafter styled ‘the purchasing company,’ of the other part, wherein it is stipulated in substance—
“(a.) That the purchasing company shall purchase for a sum not exceeding £1,035 7s. 11d. (including contingent liabilities, £261 7s. 9d.) all the assets, effects, debts, claims, and demands; pay and discharge all liabilities and all expenses of liquidation of the selling company:
“(b.) That the shareholders of the selling company shall receive and accept as compensation a number of shares of the nominal value of £5 in the purchasing company (to be hereafter called ‘The United Farmers’ Alliance (Limited),’ equal to the number of shares now held by them in the selling company:
“(c.) That such shares as lastly mentioned shall be credited with the amounts paid on the calls heretofore made thereupon by the selling company:
“(d.) That the agreement is subject to the provisions of section 222 of ‘The Companies Act, 1882.’”
