Notice to Persons concerned in the Management of
Joint Stock Companies.

THE attention of persons concerned in the manage-
ment of Joint Stock Companies is called to
those provisions of "The Joint Stock Companies
Act, 1860," which require that notices of proceedings
in certain cases be given to the Registrars of Joint
Stock Companies, and to the penalties incurred by
neglect.

Sec. 18 of the Act provides that an annual list
of shareholders shall be prepared on a specified
day, containing a summary of the particulars
mentioned in the section referred to, and
according to the form given in Schedule E.
This list and summary are to be completed
and forwarded to the Registrar; and in default,
Sec. 19 prescribes a penalty not exceeding £5,
for every day during which the default con-
tinues.

Sec. 76 provides that a copy of an order of
Court winding up a Company shall forthwith
be reported to the Registrar.

Sec. 103 requires that orders of Court for dis-
solution of Companies shall be reported by
the Official Liquidators to the Registrar.

Sec. 109 (sub-sec. 11) provides that where a
Company is wound up voluntarily, the Liqui-
dators shall make a return to the Registrar of
the resolution there mentioned. And
Sec. 123 prescribes a penalty on Liquidators
not reporting dissolution of Companies to the
Registrar, not exceeding £5 for every day
they are in default.

Other notices are required to be given to Regis-
trars by the above-mentioned Act, of which may be
mentioned-

Notices as to situation or change of the
registered office of the Company. (Secs. 34
and 35.)

Notices of special resolutions altering the regu-
lations of the Company. (Sec. 41.)

Notices of increase of capital. (Sec. 43.)

And for breach of these provisions, pecuniary
penalties are prescribed in each case.

ISSUE OF £250,000 NEW ZEALAND GOVERNMENT
DEBENTURES IN NEW ZEALAND.

Wellington, 8th April, 1873.

TENDERS are invited for the purchase of the
whole or any portion of Two Hundred and Fifty
Thousand Pounds New Zealand Government Deben-
tures, issued under the Acts of the Legislature of
the Colony entitled "The Immigration and Public
Works Loan Act, 1870," and "The Defence and
Other Purposes Loan Act, 1870," subject to the
under-mentioned conditions:-

  1. The Debentures will be payable to Bearer,
    and will be issued in sums of not less than
    One Hundred Pounds each.

  2. The Debentures, which are secured on the
    Consolidated Revenue of the Colony will bear
    interest at the rate of 4 per cent. per annum,
    payable half-yearly, on the 15th day of April
    and the 15th day of October in each year, at
    the Bank of New Zealand at Auckland, New
    Plymouth, Wellington, Napier, Nelson, Blen-
    heim, Christchurch, Greymouth, Hokitika,
    Dunedin, or Invercargill.

  3. The principal sum will be payable on the
    15th day of April, 1913, at the Treasury at
    Wellington, or at any Branch of the Bank
    of New Zealand in New Zealand, at the op-
    tion of the holder, six months' notice being
    required, previous to maturity, of the place at
    which payment will be required.

  4. Tenders will be opened at the Treasury at
    Wellington, at noon on Friday, the ninth day
    of May next, in the presence of such of the
    tenderers as desire to be present-the mini-
    mum price under seal being first placed on the
    table. In the event of equal tenders being
    received for a sum in excess of the issue, a
    pro rata distribution will be made.

  5. The amount tendered for must be paid at the
    Treasury at Wellington, as under:-

5 per cent. accompanying application; * the
balance on or before the 16th May, 1873.

Or, at the option of the purchasers,-

5 per cent. on application.
20 per cent. in one month,
25 per cent. in two months,
25 per cent. in three months,
25 per cent. in four months,
with accrued
interest.

On payment of the final instalment, Debentures
signed by the Agents appointed under the respective
Acts, will be delivered to purchasers or their
nominees.

Half per cent. brokerage will be allowed to brokers
through whose applications sales are effected.

Applications by telegraph, received not later than
10 o'clock on the 9th May, will be accepted, provided
they are accompanied by a telegram from the
Manager of any Branch or Agency of the Bank of
New Zealand, notifying that the necessary deposit
has been paid into the Bank of New Zealand, to the
credit of a Loan Deposit Account.

FORM OF TENDER.

I HEREBY tender for £ New Zealand Four per Cent.
Debentures, at the price of £ for each £100 of such
Debentures; and I agree to accept the same or any less amount
that may be allotted to me, and to pay for them in cash at the
Bank of New Zealand (a) on
(a) The name of the place at which the purchaser undertakes payment
of the balance to be inserted here.

  • Purchasers electing to pay balance within a week will be
    entitled to interest from the 15th day of April.

Time to Tender extended for the Purchase of £250,000
New Zealand Government Debentures.

REFERRING to the advertisement of the 8th
ultimo, inviting Tenders for the Purchase of
Two Hundred and Fifty Thousand Pounds New
Zealand Government Debentures, notice is hereby
given that the time for receiving applications is
extended from Noon on the 9th to Noon on Wednes-
day, the 14th day of May current.
