of all the affairs and concerns thereof,
and shall or may, but not inconsistently
with or contrary to the provisions of
this our Charter, or any bye-law for the
time being in force, or the laws and
statutes of our realm, do all such acts,
deeds, matters, and things as shall appear to them necessary or expedient to
be done for the purpose of carrying into
effect the purposes and objects of the said
body politic and corporate: Provided
always, and we do further will and declare, that the committee of management
shall, once in every year at least, render
to a general meeting of the members of
the said body politic and corporate, to be
held as hereinbefore provided, a full and
particular account of all their proceedings; and that it shall be lawful for every
member of the said body politic and
corporate to inspect and examine the
same account at all reasonable times
within one calendar month next after
a general meeting: And we do further
will and declare that the expenditure
of the funds of the said body politic
and corporate shall be regulated according to the distribution and appropriation hereinbefore particularly mentioned
subject only to such variations or modifications as may at any time, or from time
to time, be directed or approved by the
resolution of a general meeting sanctioned as hereinafter is provided, and
that the said body politic and corporate
shall cause distinct and true accounts in
writing under each head of expenditure
to be kept in proper books, and to be
submitted once in every year to such
persons as the Lords of the committee
of our Privy Council appointed for the
consideration of all matters relating to
trade and foreign plantations shall appoint to be the inspector of the accounts
of the said body politic and corporate
together with such vouchers and other
documents, and such evidence and information relating thereto, and at such time
and place as such inspector shall require,
in order that such inspector may examine
such accounts and report thereon to the
Lords of the said committee: And we do
further will and declare that every such
report (with any summary or statement
of the said accounts or other documents
to be annexed thereto) shall with all
convenient speed after the making thereof be printed and published by and at
the expense of, the said body politic and
corporate: And we do further will and
declare that no direction or approval by
a general meeting of any variation or
modification of such distribution and ap-
propriation as aforesaid shall be of any
force or effect unless the same shall receive the sanction of the Lords of the
said committee of the Privy Council:
And we do further will and declare, that
the said body politic and corporate shall
not make or enter into any contract or
agreement involving an expenditure by
the said body politic of a sum exceeding
Β£2,000 or upwards, unless at the time of
the making thereof, or within ten days
thereafter, two members of the committee
of management, nominated for that purpose by the Lords of the said committee
of Privy Council, shall by writing under
their hands at the foot of a copy of such
contract or agreement, certified by the
secretary or other proper officer of the
said body politic and corporate, declare
that it appeared from the accounts of the
said body, submitted to them,--that the
said body politic and corporate was at the
date of such contract or agreement possessed of funds available and adequate to
answer the same: And we lastly declare
it to be our Royal will and pleasure that
no bye-law, rule, order, ordinance,
resolution, or regulation shall on any account
or pretence whatsoever be made by the
said body politic and corporate in opposition to the general scope, tenor, intent,
and meaning of this our Charter, or the
laws or statutes of our realm, and that if
any such bye-law, rule, order, ordinance,
resolution, or regulation shall be made,
the same shall be absolutely null and
void to all intents and purposes whatsoever, and that it shall be lawful for us to
revoke, cancel, and render void these
presents, in case the said body politic
and corporate shall at any time hereafter
act in any manner contrary to the provisions, stipulations, true intent and meaning of this our Charter of Incorporation.
In witness whereof, we have caused these
our Letter to be made Patent; Witness
Ourself, at Westminster, the thirteenth
day of November, in the thirteenth year
of our reign.
